1. Definitions

• “Hero-ing,” “we,” “our,” “us” refers to Hero-ing coaching practice
• “Client,” “you,” “your” refers to the individual or organisation using our services
• “Services” refers to all coaching, consulting, speaking, and related services and products offered by Hero-ing
• “Website” refers to heroing.global and all associated subdomains
• “Materials” refers to all content, documents, assessments, frameworks, and resources provided by Hero-ing

2. Acceptance of Terms

By using our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Refund Policy.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance of the modified Terms.

3. Services & Product Description

Hero-ing provides professional coaching services including, but not limited to:

• Executive and leadership coaching
• Team coaching and development
• Enterprise coaching programs
• Individual personal coaching
• Group coaching programs
• Couples coaching
• Speaking, facilitation, and moderation services
• Digital resources & products

Important Clarification: Coaching is not therapy, counseling, or medical treatment. Our services are designed to help clients develop goals, create action plans, and build accountability. We do not diagnose or treat mental health conditions.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information
• Participate actively and honestly in coaching sessions
• Complete any agreed-upon assignments or exercises
• Attend scheduled sessions or provide adequate notice for rescheduling
• Make timely payments for services
• Respect the confidentiality of other participants in group settings
• Seek appropriate professional help if mental health or medical issues arise

5. Coach Responsibilities

Hero-ing commits to:

• Provide professional coaching services in accordance with established coaching standards
• Maintain confidentiality of session content (with exceptions noted below)
• Conduct sessions as scheduled or provide reasonable notice for changes
• Provide a safe, non-judgmental space for exploration and growth
• Refer clients to appropriate professionals when issues arise outside our scope

6. Confidentiality

6.1 Coach Confidentiality

All information shared during coaching sessions is confidential and will not be disclosed to third parties without your express written permission, except:

• When required by law or court order
• When there is imminent risk of harm to yourself or others
• When there is suspected abuse of children, elderly, or vulnerable persons
• For anonymous case studies or educational purposes (with all identifying information removed)

6.2 Client Confidentiality

In group coaching settings, you agree to maintain confidentiality regarding other participants’ personal information and session content.

6.3 Corporate Clients

For organisational coaching, we may provide summary reports to designated company representatives. The level of detail shared will be agreed upon in advance and documented in the service agreement.

7. Payment Terms

7.1 Fees

For pricing & fees, book a discovery call to get quoted based on your specific coaching needs.

7.2 Payment Methods

We accept:

• Bank transfer (EFT)
• Credit/debit cards
• Payment plans (for programs, subject to approval)

7.3 Payment Schedule

• Individual Sessions: Payment due before each session
• Programmes: Payment in full before program start, or as per agreed payment plan
• Enterprise Services: As per contract terms

7.4 Late Payments

Late payments may result in suspension of services until the account is brought current. A late fee of 10% may be applied to payments more than 14 days overdue.

8. Cancellation & Rescheduling

Please refer to our Refund Policy for complete details on cancellations and rescheduling. Key points:

• Rescheduling permitted with 15 days’ notice before scheduled engagement
• 48 hours’ notice required for individual session rescheduling
• No refunds on coaching services
• Missed sessions without adequate notice are forfeited

9. Intellectual Property Rights

9.1 Hero-ing Intellectual Property

All content on our website and materials provided during coaching (including but not limited to text, graphics, logos, frameworks, assessments, methodologies, videos, and software) are the intellectual property of Hero-ing and are protected by South African and international copyright, trademark, and other intellectual property laws.

9.3 Intellectual Property Use Licence

Limited Personal Use Licence: When you engage Hero-ing’s services, we grant you a limited, non-exclusive, non-transferable, revocable license to use coaching materials provided to you for your personal or internal business use only.

This license permits you to:

• Use materials for your personal development or within your organisation (for business clients)
• Make copies for personal reference
• Share internally within your organisation (for business clients only, and only with employees directly participating in the coaching engagement)

This license does NOT permit you to:

• Reproduce, distribute, or publish materials externally
• Use materials for commercial purposes or resale
• Modify, adapt, or create derivative works
• Remove copyright notices or attributions
• Share materials publicly or with unauthorized parties
• Use Hero-ing methodologies, frameworks, or materials in your own coaching or consulting practice
• Reverse engineer any proprietary assessments or tools

Attribution: If you reference Hero-ing methodologies or materials in presentations, articles, or other content (with our permission), you must provide appropriate attribution: “Methodology developed by Hero-ing (heroing.global)”

Termination: This license terminates automatically upon conclusion of your coaching engagement or immediately upon any violation of these terms.

9.4 Client Materials

Any materials, information, or intellectual property you share with us during coaching remains your property. By sharing it with us, you grant us a limited licence to use it solely for the purpose of providing coaching services to you.

10. Limitation of Liability

Coaching Results: While we are committed to providing high-quality professional coaching services, we cannot guarantee specific results. Success in coaching depends on many factors including client commitment, circumstances, and implementation of insights.

No Liability for Decisions: You acknowledge that you are fully responsible for your own choices and actions. Hero-ing is not liable for any consequences resulting from decisions you make during or after coaching.

Maximum Liability: To the maximum extent permitted by law, Hero-ing’s total liability for any claims arising from our services is limited to the amount you paid for the services giving rise to the claim.

Excluded Damages: We are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities.

11. Disclaimers

• Not Mental Health Treatment: Coaching is not a substitute for therapy, counseling, or medical treatment
• No Professional Advice: Coaching does not constitute legal, financial, medical, or other professional advice
• No Guarantees: We make no guarantees or warranties regarding outcomes from coaching services
• Website Content: Website content is for informational purposes and may not be current or complete

12. Termination

12.1 Termination by Client

You may terminate coaching services at any time by providing written notice. Fees for services already rendered are non-refundable. For business clients, refer to your contract for termination details.

12.2 Termination by Hero-ing

We reserve the right to terminate coaching relationships if:

• Payment obligations are not met
• Client behaviour is abusive, threatening, or inappropriate
• Client needs are outside our scope of practice
• There is a conflict of interest
• We believe coaching is no longer beneficial

13. Dispute Resolution

13.1 Informal Resolution

If disputes arise, we encourage direct communication to resolve issues informally.

13.2 Mediation

If informal resolution fails, parties agree to attempt mediation before pursuing legal action.

13.3 Governing Law

These Terms are governed by the laws of South Africa. Any legal proceedings must be brought in the courts of Johannesburg, South Africa.

14. Indemnification

You agree to indemnify and hold Hero-ing harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of our services
• Your violation of any third-party rights
• Actions or decisions you make during or after coaching

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and Hero-ing regarding use of our services.
